You are working for one of the solicitors who has a meeting with a very important foreign client later in the week. You have been asked by the solicitor to write a report providing this vital information for the foreign client. Task One — Write a Report As a paralegal in a small law firm, write a report to the solicitor including the following: 1. After many months of planning, they have decided to set up a company so they can conduct their business. They are unsure what to name their company but are thinking of either F U Fashion or Fashion House. Employment Law- A few months have now passed and Jill and Ben have set up their company. Their business has really taken off and they have employed three people to work for them. One of whom is Bianca. Two months ago Jill went to Spain for a holiday with her friends. Martin makes an offer to Jill and Ben, offering to buy 20 black t-shirts for 80. Jill and Ben accept the offer and Ben agrees to deliver the goods to Martin the following week, in time for Martins sons birthday. After a week, there has been no delivery. Martin calls Ben and is informed that due to ill health, the delivery has been delayed until a further two days. The t-shirts are finally delivered but when Martin receives them, he notices they are not the black t-shirts he ordered. Instead they are pink and he cannot give the shirts to his guests to wear due to the black dress code. Task Two: The following must be included in your letters: 3. Instead of providing the usual costings for the job, Fabian has negotiated that he will take 15 per cent of the sale price achieved for the property. Fabian begins work but unfortunately falls ill and cannot continue with the contract. He has already removed the seating, doors and tiles of the old restaurant. This work has left the surrounding road on which the restaurant was based, covered in rubble. The building is now an empty shell with large holes that have resulted in a dwelling for rats, causing the neighbouring properties a lot of problems. Company Law: Over the last year Big House Ltd have really struggled and have seen their business go down dramatically. As a consequence, a winding up order was made on 30th May 2016 against Big House Ltd, following a creditors petition which was presented to the court on 8 th May 2016. Lauren has been appointed liquidator. The creditors of Big House Ltd include: 1. Donald Bank, which is owed 250,000 and has a fixed charge (duly registered) over Big House Ltds freehold premises. Big House Ltds premises have been valued at 200,000 Lauren has incurred costs and expenses of 10,000. Task Three Write a Memo As a junior legal executive in a small law firm, write a memo to the following clients: 4. Suggest appropriate legal solutions for a range of business problems as detailed below: I) Advise Big House Ltd if they have to pay Fabian for the work he carried out II) Advise Lauren on how the companys assets should be distributed to the creditors. 5. Provide justifications for the use of appropriate legal solutions Task Four LO4: Recommend appropriate legal solutions based upon alternative legal advice provided Scenario ADR Jackson Ltd, a steel company based in Italy, contracted to supply DM Motors, a car manufacturing company based in England, with 20 tonnes of steel on the 8th August 2014. In their contract, Jackson Ltd and DM Motors, included an arbitral clause, stating that in the event of a contractual dispute, the parties would go to arbitration to resolve the dispute. Jackson Ltd failed to deliver the steel on 8th August 2014. DM Motors then contacted Jackson Ltd, who promised that they would deliver the steel by 20th August 2014. However, Jackson Ltd failed to deliver the steel a second time. As a consequence of the non-delivery, DM Motors lost a contract worth 50,000. DM Motors have now brought a case in the UK courts for breach of contract. Jackson Ltd however, are arguing that the dispute must be heard at arbitration. Task Four- Write a Letter As a commercial solicitor in a large city firm, write a letter to Jackson Ltd: 6. Recommend legal solutions based upon a different countrys legal system and/or a different legal framework i) Advise Jackson Ltd of their legal rights to resolve the dispute at arbitration ii) What is the difference between institutional and ad hoc arbitration?
